ANNOUNCEMENT OF EXTRAORDINARY GENERAL MEETING AND PLAN TO RAISE TWO MILLION U. S. DOLLARS

Richmond, B. C. -- Mr. James L Swanson, Chairman of CON-SPACE COMMUNICATIONS LTD., has called an Extraordinary General Meeting for May 21, 1996. The meeting is to pass a special resolution to create a new class of common shares and two classes of preferred shares.

Swanson also announced that CON-SPACE has signed a Letter of Intent with Lynx Financial Services to raise up to two million U. S. dollars. These funds will be used to finance the company's impending growth. The capital is expected to be raised via private placements and the intent is to issue preferred stock and non-trading Class B common stock. In preparation of this funding, the capital structure of the company is planned to be altered at the upcoming Extraordinary shareholders' meeting.
